- • Note generation from audio, PDFs, images, and textbooks
- • AI chat functionality to interact with your study materials and ask questions
- • Exam question generation including both objective and theory-based questions
- • Content organization and export features (PDF format)
- • Image and document upload for study material processing
Note Echo uses artificial intelligence and machine learning technologies to provide these features. While we strive for accuracy, AI-generated content may contain errors and should be reviewed by you.
3. User Accounts and Eligibility
To use Note Echo, you must create an account. You agree to:
- • Provide accurate, current, and complete information during registration
- • Maintain and promptly update your account information
- • Maintain the security of your account credentials
- • Be responsible for all activities that occur under your account
- • Notify us immediately of any unauthorized access or security breach

License to Us: By uploading User Content to Note Echo, you grant us a non-exclusive, worldwide, royalty-free license to use, store, process, and display your content solely for the purpose of providing and improving the Service. This includes processing your content through AI systems to generate notes, transcriptions, questions, and chat responses.
Content Responsibility: You are solely responsible for the User Content you upload and share through Note Echo. You represent and warrant that:
- • You own or have the necessary rights to upload and use the content
- • Your content does not infringe on intellectual property rights of third parties
- • Your content complies with all applicable laws and does not contain illegal material
- • You have obtained necessary permissions to record lectures or other audio content
We reserve the right to remove any User Content that violates these Terms or applicable laws.
5. Acceptable Use Policy
You agree NOT to use Note Echo to:
- • Upload or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- • Violate copyright, trademark, patent, or other intellectual property rights
- • Record lectures or presentations without proper authorization from instructors or speakers
- • Share, distribute, or sell AI-generated exam questions for commercial purposes
- • Use the Service to engage in academic dishonesty or cheating
- • Attempt to reverse engineer, decompile, or extract the source code of our AI systems
- • Transmit viruses, malware, or any malicious code
- • Impersonate any person or entity or misrepresent your affiliation
- • Interfere with or disrupt the Service or servers

Violation of this policy may result in immediate termination of your account and legal action if necessary.
6. Academic Integrity
Note Echo is designed to assist with learning and study preparation. We expect all users to maintain academic integrity. You acknowledge that:
- • Note Echo is a study tool and should not be used to facilitate academic dishonesty
- • AI-generated notes and questions are for personal study purposes only
- • You remain responsible for ensuring your use complies with your institution's academic policies
- • Recording lectures requires proper authorization from instructors
We do not condone or support any form of cheating, plagiarism, or academic misconduct.
7. Subscription and Payment
Note Echo may offer both free and paid subscription plans. By subscribing to a paid plan, you agree to:
- • Pay all fees associated with your chosen subscription plan
- • Provide accurate and complete billing information
- • Authorize us to charge your payment method on a recurring basis
Free Trial: If we offer a free trial period, you will not be charged until the trial expires. We may require payment information before starting a trial.
Cancellation and Refunds: You may cancel your subscription at any time through your account settings or app store subscription management. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial subscription periods, except as required by law.
Price Changes: We reserve the right to change subscription prices with at least 30 days' notice. Continued use after price changes constitutes acceptance of the new pricing.
8. Intellectual Property Rights
Note Echo, including its logo, design, features, functionality, AI models, algorithms, and all related intellectual property, is owned by COD Innovations and protected by international copyright, trademark, patent, and other intellectual property laws.
Nothing in these Terms grants you any right, title, or interest in Note Echo or our intellectual property, except for the limited license to use the Service as described herein.
You may not copy, modify, distribute, sell, or lease any part of our Service or included software without our express written permission.
9. AI-Generated Content Disclaimer
Note Echo uses artificial intelligence to generate transcriptions, notes, questions, and chat responses. While we strive for accuracy, AI technology is not perfect. You acknowledge that:
- • AI-generated content may contain errors, inaccuracies, or incomplete information
- • You should verify important information independently
- • Note Echo is not a substitute for professional educational instruction
- • We do not guarantee that AI-generated exam questions will match actual exam content
You use AI-generated content at your own discretion and risk.
10. Data Privacy and Security
We take your privacy seriously. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
We implement industry-standard security measures to protect your data. However, no system is completely secure. You acknowledge that you provide information at your own risk.

No Guarantee: We do not guarantee that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
Limitation of Liability: To the maximum extent permitted by law, COD Innovations shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- • Loss of data, profits, or business opportunities
- • Academic consequences resulting from use of the Service
- • Errors in AI-generated content
- • Unauthorized access to your account or content
Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.
13. Indemnification
You agree to indemnify, defend, and hold harmless COD Innovations, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

- • Your violation of these Terms
- • Your violation of any rights of another person or entity
- • Your User Content or any content you upload
14. Termination
By You: You may terminate your account at any time by contacting us or using the account deletion feature in the app.
By Us: We reserve the right to suspend or terminate your access to Note Echo at any time, with or without cause or notice, including if we believe you have violated these Terms.
Effect of Termination: Upon termination:
- • Your right to use the Service immediately ceases
- • We may delete your account and User Content
- • You remain liable for any obligations incurred before termination
- • No refunds will be provided for unused subscription time, except as required by law
We recommend exporting your important notes before terminating your account.
15. Changes to the Service
We reserve the right to modify, suspend, or discontinue Note Echo (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
16. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where COD Innovations is registered, without regard to its conflict of law principles.
Any disputes arising out of or relating to these Terms or the Service shall be resolved through:
- Good faith negotiation between the parties
- Mediation, if negotiation fails
- Binding arbitration or litigation in the courts of the applicable jurisdiction
You agree to waive any right to participate in class action lawsuits against COD Innovations.
17. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and COD Innovations regarding Note Echo.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations without restriction.
Force Majeure: We shall not be liable for any failure to perform due to circumstances beyond our reasonable control.
